These Terms of Use ("Terms") govern your access to and use of Fiscal's website, software, and services (collectively, "Services"). By creating an account or using Fiscal, you agree to be bound by these Terms. If you do not agree, do not use the Services.


1. Acceptance of Terms

By accessing or using Fiscal, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Fiscal on behalf of an organization, you represent that you have authority to bind that organization to these Terms. "You" refers to you personally and/or the organization you represent.

Fiscal is an AI-powered accounts payable auditing platform designed for startups and growing businesses. The Services include, but are not limited to:

Fiscal is provided as-is. We do not guarantee that all anomalies will be detected, that financial outcomes will improve, or that the Service will be uninterrupted or error-free.


3. Eligibility

The Services are available only to users who can form legally binding contracts under applicable law. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By using Fiscal, you represent that you meet these requirements.

The Services are intended for business use. If you are a consumer (as defined by applicable law), these Terms do not limit any statutory rights that may apply to you.


4. Account Registration and Responsibilities

5. Bank Connections and Data Access

Fiscal uses Plaid, a third-party service provider, to connect to your bank accounts. By connecting your accounts via Plaid, you authorize us to access transaction data as described in our Privacy Policy.

Fiscal uses read-only access to your bank data. We do not initiate payments, modify account settings, or transfer funds through bank connections. You may disconnect your bank connections at any time through your account settings or by revoking access in your Plaid dashboard.

Important: Fiscal does not store your bank login credentials. Credentials are held exclusively by Plaid. Review Plaid's Terms of Service and Privacy Policy for information about how they handle your data.


6. Subscription and Payment

6.1 Subscription Plans

Fiscal offers subscription plans as described on our Pricing page. All fees are billed monthly at the rates in effect at the time of billing. Prices are subject to change with 30 days' notice prior to your next billing cycle.

6.2 Free Trial

All plans include a 14-day free trial. No payment method is required to start your trial. You will be charged only after your trial ends if you actively choose to continue. We reserve the right to modify or discontinue trial offers at any time.

6.3 Payment

Payments are processed securely via Stripe. By initiating a subscription, you authorize Stripe to charge your designated payment method for all fees due. All charges are non-refundable except where required by applicable law.

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will not be charged for subsequent periods after cancellation.

6.5 Failed Payments

If a payment fails, we will attempt to retry the charge up to three times within 14 days. If payment cannot be collected, your account will be downgraded to a limited-access state and ultimately suspended until payment is resolved. We reserve the right to assess a fee for failed payment attempts.

6.6 Price Changes

We may change pricing for any plan at any time. For existing subscribers, changes take effect at the start of the next billing cycle following 30 days' notice sent to your registered email address.

Your privacy matters to us. Fiscal collects, stores, and processes personal data as described in our Privacy Policy. This includes:

You retain ownership of the data you submit to Fiscal. By using the Service, you grant us a limited license to process your data as necessary to deliver the Services.

You may not use Fiscal's name, logo, or branding without prior written permission.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You use the Service at your own risk. Fiscal is a tool to assist with financial analysis — it does not replace professional accounting, legal, or financial advice.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLSIA, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Any dispute arising out of or relating to these Terms or your use of Fiscal shall be resolved exclusively in the state or federal courts located in Delaware, USA. You consent to the personal jurisdiction of those courts.

To the extent permitted by applicable law, you agree to resolve any dispute on an individual basis, and waive any right to participate in a class action, class-wide arbitration, or representative action of any kind.


17. Export Controls

The Service is controlled and operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with applicable local laws, including export and import regulations.


18. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Polsia, Inc. regarding your use of Fiscal.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be construed as a waiver of such right or provision.

Severability: If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice. Your account is personal to you and may not be transferred.

Force Majeure: We are not liable for any failure or delay in performing our obligations where such failure results from causes beyond our reasonable control, including natural disasters, acts of war, cyber attacks, or infrastructure failures.
